On the Tenth day of August AD One Thousand Eight Hundred and Sixty three before me R H Sinton a Notary Public in and for City & County, duly commissioned and sworn, personally appeared the within named
A.W. Bee, S. P. Middleton & Louis Shearer
whose name same subscribed to the annexed Instrument as parties hereto, personally known to me to be the individuals described in and who executed the said annexed Instrument and acknowledged to me that they executed the same freely and voluntarily, and for the uses and purposes therein mentioned:

The undersigned having this day formed a Corporation for the purpose of Mining, do hereby certify that the name of said Corporation shall be the "Bee Silver Mining Company"
That the object of said Corporation is to carry on and conduct the business of Mining, on certain Vein or Lode known by the name of the Eliza Anderson Ledge No. 2 1st S. W. Extension and situated and recorded in the District of Reese River, Lander County, Nevada Territory.
The amount of the Capital Stock of said Corporation shall be Five Hundred Thousand 00/100 Dollars, which shall be divided into five hundred of the par value of One Thousand Dollars each.
The said Corporation shall exist for the Term of fifty years, and its concerns shall be managed by a Board comprised of five Trustees. The principal place of business of said Corporation shall be in the City & County of San Francisco where an office shall be kept for that purpose.
The following persons, to wit:
Ira Munson, Louis Shearer, S. Molitor, Samuel P. Middleton and A. W. Bee shall be the Trustees to manage the concerns of said Corporation for the first three months.
